These Terms of Service govern your access to and use of the websites, applications, tools, and services operated by YCELLO LTD ("we," "the Company," "SVNGU," or "us").
These Terms apply to SVNGU and all current or future products and services operated under the SVNGU brand, including but not limited to AI-assisted compliance tools, label generation tools, product research tools, listing optimization tools, batch processing functions, OCR/manual parsing, translation assistance, and other related online technical services.
By accessing our website, creating an account, purchasing a plan, using any paid or free feature, or otherwise using our services, you confirm that you have read, understood, and agreed to be bound by these Terms.
If you do not agree with any part of these Terms, you must not use our services.
These Terms, together with our Privacy Policy, Cookie Policy, Generated Output Disclaimer, Billing and Credits Policy, and any other supplemental terms, policies, notices, or guidelines made available by YCELLO LTD, constitute the entire agreement between you and SVNGU regarding your use of the SVNGU Services.

SVNGU is the commercial brand used for the services described in these Terms. Unless otherwise stated, all rights and obligations relating to SVNGU Services are held by YCELLO LTD.
YCELLO LTD has filed a European Union Trade Mark application for the SVNGU brand under EUTM Application No. 019364470. The SVNGU name, logo, visual identity, product names, interface elements, and brand materials may not be used, copied, modified, reproduced, or distributed without our prior written permission.
For the purposes of these Terms:
"SVNGU Services" means all websites, applications, tools, products, features, and online technical services operated under the SVNGU brand.
"User," "you," or "your" means any individual, company, organization, seller, trader, manufacturer, compliance operator, or other legal entity that accesses or uses the SVNGU Services.
"Account" means the registered user account used to access SVNGU Services.
"Subscription" means a monthly, annual, 12-month, or other recurring plan offered by SVNGU in exchange for payment. Annual or 12-month plan names are commercial plan labels. The applicable access period, credit cycle, renewal rules, and usage allowance for any plan are defined in the Billing and Credits Policy and the relevant checkout or pricing page.
"Credits" means usage units, allowances, or paid quotas used to access or generate service outputs.
"Generated Output" means any content, result, suggestion, label text, compliance statement, risk notice, classification suggestion, translated content, analysis, report, document, QR-linked content, or other output generated through the SVNGU Services.
"Uploaded Content" means any product information, images, documents, manuals, business materials, listing data, or other information submitted by you.
"Third-Party Services" means payment providers, cloud infrastructure providers, AI model providers, analytics providers, marketplace platforms, APIs, hosting services, or other external services used to support SVNGU Services.
SVNGU provides tool-based and assistant-type online technical services.
Depending on the specific product or feature, the services may include:
SVNGU is a software and technology service provider.
SVNGU is not a certification body, testing laboratory, notified body, customs authority, government agency, law firm, legal adviser, tax adviser, product safety authority, or marketplace platform.
Generated Output is provided only as a technical aid and reference. It does not constitute legal advice, certification, regulatory approval, customs clearance confirmation, marketplace approval, or a final compliance conclusion.
Before using any Generated Output for product labelling, market placement, customs declaration, product launch, legal judgment, business decision-making, or regulatory submission, you must conduct manual review and, where necessary, seek advice from qualified professionals.
For compliance-related functions, SVNGU may refer to public and official regulatory sources, including but not limited to:
For EU harmonised standards, SVNGU treats references published in the Official Journal of the European Union (OJEU) as the official reference basis for identifying harmonised standards where applicable.
However, regulatory interpretation, product classification, standard applicability, enforcement practice, customs requirements, and marketplace review standards may vary depending on product type, jurisdiction, time, authority, and specific factual circumstances.
SVNGU does not guarantee that any compliance reference, standard suggestion, label text, declaration content, warning statement, or risk classification generated by the system is complete, current, exhaustive, or legally sufficient for your specific product or business scenario.
You remain solely responsible for verifying whether the Generated Output is accurate, complete, current, and suitable for your product, target market, platform, and legal obligations.
To access certain SVNGU Services, you may be required to create an Account.
You are responsible for:
We may suspend, restrict, or terminate access to your Account if we reasonably believe that your Account has been used unlawfully, fraudulently, abusively, or in violation of these Terms.
SVNGU Services are intended for legitimate business or professional use by users such as:
If you use SVNGU Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
If you are under the age of legal majority in your jurisdiction, you may use the services only under the supervision and responsibility of a parent, guardian, or authorized representative.
You are responsible for complying with all laws, regulations, marketplace policies, customs rules, product safety requirements, and other obligations applicable to your country, region, business, product category, and sales channel.
By using SVNGU Services, you agree and undertake that:
(1) Accuracy and Completeness of Information
You must provide true, accurate, complete, lawful, and up-to-date product and business information.
You understand that Generated Output depends heavily on the information you submit. Incomplete, inaccurate, misleading, outdated, or wrongly interpreted input may result in inaccurate, incomplete, or unsuitable outputs.
(2) Generated Output as Reference Only
You understand and agree that SVNGU Services provide technical assistance only.
Generated Output is not a final legal, regulatory, commercial, customs, or product safety determination.
(3) Manual Review Obligation
If you use Generated Output for product labelling, market placement, customs declaration, platform submission, compliance archive, commercial decision-making, legal judgment, or other business purposes, you must conduct manual review and take responsibility for the final use of such output.
(4) High-Risk Products
For high-risk, regulated, sensitive, or complex products, including but not limited to toys, electrical products, medical-related products, cosmetics, food-contact materials, chemicals, batteries, machinery, protective equipment, or other regulated categories, you should obtain professional review from qualified legal, compliance, certification, testing, or regulatory experts.
(5) Lawful Use
You must not use SVNGU Services for illegal, infringing, misleading, fraudulent, deceptive, abusive, or non-compliant purposes.
You must not use Generated Output to falsely claim certification, regulatory approval, testing results, marketplace endorsement, customs clearance, or legal compliance.
SVNGU operates multiple products and services under the SVNGU brand. Different products may generate different types of outputs, including compliance references, label text, declaration drafts, product research analysis, profitability calculations, marketplace insights, listing content, translations, optimization suggestions, and other technical outputs.
All Generated Output is provided for technical assistance and reference purposes only. It should not be treated as final legal, regulatory, commercial, financial, tax, advertising, marketplace, customs, or operational advice.
Some SVNGU Services may use artificial intelligence, automation, rule-based processing, OCR, translation tools, data analysis, calculation models, or other technical methods to generate outputs. Due to the nature of automated and AI-assisted processing, Generated Output may contain omissions, inaccuracies, outdated references, unsuitable suggestions, or content that requires human correction, adaptation, or professional review.
You are solely responsible for deciding whether and how to use any Generated Output.
(1) Singulabel: Compliance, Label, and Declaration Outputs
Singulabel is designed to assist users with product label preparation, GPSR-related reference support, compliance statement drafting, warning text preparation, EU declaration content organization, QR-linked declaration pages, multilingual label content, and related product safety reference workflows.
Singulabel is an efficiency and document-preparation tool. It is not a certification body, testing laboratory, notified body, customs authority, product safety authority, law firm, legal adviser, or regulatory agency.
For compliance-related functions, Singulabel may refer to public and official regulatory sources, including EUR-Lex and the Official Journal of the European Union (OJEU). For EU harmonised standards, Singulabel treats references published in the OJEU as the official reference basis for identifying harmonised standards where applicable.
However, Singulabel does not guarantee that any generated compliance reference, standard suggestion, label text, warning statement, declaration content, QR-linked content, product classification, risk notice, or regulatory reference is complete, current, exhaustive, legally sufficient, or suitable for your specific product, target market, platform, customs scenario, or regulatory requirement.
You are solely responsible for verifying all Singulabel outputs against applicable laws, regulations, official sources, marketplace requirements, customs requirements, product-specific obligations, and professional advice where necessary.
You must not treat Singulabel outputs as legal advice, certification, testing approval, notified body opinion, customs clearance confirmation, marketplace approval, or final compliance determination.
(2) PolarPick: Product Research, Profitability, and Marketplace Analysis Outputs
PolarPick is designed to assist users with product research, marketplace analysis, profitability estimation, product comparison, competition assessment, pricing reference, and sourcing decision support.
PolarPick is a data-assisted business analysis tool. It does not guarantee the accuracy, completeness, timeliness, or commercial suitability of any sales estimate, profit calculation, ranking signal, demand analysis, competition indicator, pricing suggestion, cost estimate, or product opportunity assessment.
Marketplace conditions may change quickly, including product prices, rankings, traffic, fees, advertising costs, seller competition, platform rules, customer demand, exchange rates, logistics costs, tax assumptions, return rates, and inventory risks.
You are solely responsible for verifying all commercial assumptions before making sourcing, pricing, advertising, inventory, purchasing, listing, or sales decisions.
PolarPick outputs should not be treated as investment advice, financial advice, tax advice, guaranteed market research, guaranteed profit analysis, or a promise that any product will achieve a specific sales volume, ranking, conversion rate, or profit margin.
(3) NovaPre: Listing, Copywriting, Translation, and Optimization Outputs
NovaPre is designed to assist users with marketplace listing preparation, title generation, bullet point generation, product description optimization, keyword suggestions, translation, tone adjustment, and content improvement.
NovaPre is a content-assistance and optimization tool. It does not guarantee that any generated title, description, bullet point, keyword, advertising copy, translation, or listing suggestion will improve ranking, traffic, click-through rate, conversion rate, sales volume, advertising performance, or marketplace approval.
You are solely responsible for reviewing whether any NovaPre output is accurate, lawful, non-misleading, platform-compliant, and consistent with the actual product.
This includes verifying product materials, dimensions, functions, performance claims, certifications, safety warnings, target users, compatibility claims, brand references, intellectual property issues, restricted words, and applicable marketplace content policies.
NovaPre outputs should not be treated as advertising law advice, trademark clearance, platform approval, SEO guarantee, ranking guarantee, or sales performance guarantee.
(4) Future SVNGU Products
SVNGU may launch additional products, tools, workflows, or features from time to time.
Where a new product or feature involves materially different functionality, risks, data processing, pricing, or usage rules, SVNGU may provide additional product-specific terms, notices, or in-product disclosures. We may also require users to review and accept such additional terms before using the relevant product or feature.
Unless separate product-specific terms are provided, outputs generated by future SVNGU products will be subject to the general principles in these Terms, including the reference-only nature of Generated Output, the user's manual review obligation, the limitation of liability, and any applicable notices displayed on the relevant product page.
(5) No Guaranteed Outcome
SVNGU does not guarantee any specific business, compliance, legal, regulatory, customs, marketplace, financial, ranking, traffic, conversion, sales, profit, or operational outcome.
Any decision to use Generated Output for product launch, sourcing, listing, pricing, advertising, compliance preparation, marketplace submission, customs declaration, business planning, or other commercial activity is made solely at your own risk.
SVNGU will use reasonable care and skill in providing the SVNGU Services and will make reasonable efforts to maintain the functionality, security, and availability of the services.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any mandatory consumer rights that may apply.
To the maximum extent permitted by applicable law, SVNGU does not guarantee the real-time accuracy, completeness, legality, commercial suitability, or absolute correctness of any Generated Output.
SVNGU shall not be liable for any loss, damage, claim, penalty, delay, business interruption, commercial loss, customs issue, marketplace enforcement action, product recall, regulatory investigation, third-party claim, or other consequence arising from any of the following circumstances:
(1) Information Accuracy Risk
Consequences caused by information provided by the user being untrue, incomplete, inaccurate, outdated, misleading, or unsuitable, or by the user misunderstanding, omitting, or incorrectly interpreting page prompts, field meanings, system instructions, or Generated Output.
(2) Manual Review Obligation
Consequences caused by the user directly relying on system-generated or AI-generated content, including but not limited to compliance statements, label text, warning statements, risk notices, classification suggestions, or product analysis, for business decisions, compliance judgments, customs declarations, product launches, legal judgments, or marketplace submissions without proper manual review or professional consultation.
(3) Regulatory Delay or Policy Changes
Inconsistencies, delays, or mismatches caused by changes in national or regional laws, regulations, regulatory policies, customs standards, marketplace rules, platform review requirements, official enforcement practices, or differences in interpretation by authorities or platforms.
(4) Actual Business Risks
Losses or liabilities caused by product quality defects, false or inaccurate declaration materials, incorrect product attribute judgment, supply chain issues, logistics failures, customs clearance problems, inspection detention, return shipment, seizure, fines, compensation claims, commercial disputes, or other operational risks.
(5) Technical Issues and Force Majeure
Data delays, processing interruptions, service unavailability, abnormal results, or functional errors caused by internet instability, system failures, third-party interface errors, AI model errors, payment provider issues, cloud service interruption, hosting service problems, external dependency failures, force majeure, or other factors beyond our reasonable control.
(6) Illegal or Non-Compliant Use
Any legal liability, third-party dispute, regulatory penalty, or commercial loss caused by the user's illegal business activity, unlawful use, malicious operation, violation of these Terms, or failure to fulfil applicable legal, regulatory, customs, product safety, tax, marketplace, or compliance obligations.
Generated Output is provided only as a technical aid and reference. Final compliance and business responsibility remains solely with the user.
The principles set out in this section are further elaborated in our Generated Output Disclaimer, which forms part of the agreement between you and SVNGU. In the event of any inconsistency between this section and the Generated Output Disclaimer, the Terms of Service shall prevail. If the Generated Output Disclaimer is updated, the updated version shall apply together with these Terms from its effective date.
SVNGU may offer free plans, trial access, paid subscriptions, extra credits, one-time purchases, enterprise plans, or other paid features.
Plan types, prices, usage limits, available features, credit amounts, renewal terms, and payment methods are displayed on the relevant pricing, checkout, or product pages.
Payments may be processed by third-party payment providers, including but not limited to Lemon Squeezy or other payment service providers. Depending on the checkout configuration, a third-party payment provider, reseller, or merchant of record may process the transaction, collect applicable taxes, issue receipts or invoices, and handle certain payment, refund, or subscription administration steps under its own terms.
You agree to provide accurate billing information and authorize the relevant payment provider to process payments for your selected plan or purchase.
Unless otherwise stated, prices may be displayed in EUR, GBP, USD, or other supported currencies depending on your location, checkout provider, or plan configuration.
Certain SVNGU Services may use credits, quotas, usage allowances, or output-based billing.
Credits may be consumed when a service output is generated, processed, exported, analyzed, translated, or otherwise delivered, depending on the specific product rules.
Different products or features may consume different numbers of credits.
The definition of credits, deduction timing, consumption order, independent purchase rules, non-billing exceptions, refund-related credit handling, and other usage details shall be governed by the SVNGU Billing and Credits Policy.
If there is any inconsistency between these Terms and the SVNGU Billing and Credits Policy regarding credits, billing calculation, usage deduction, consumption order, or non-billing exceptions, the SVNGU Billing and Credits Policy shall prevail.
Refund eligibility, refund exceptions, and cancellation rights are governed solely by Section 13 of these Terms. The SVNGU Billing and Credits Policy governs credit removal and adjustment procedures that follow an approved refund, but does not create independent refund rights beyond those set out in Section 13 of these Terms, except where required by applicable law.
(1) General Rule
SVNGU Services are online technical services that may be delivered immediately after purchase, activation, account access, credit allocation, or feature use.
Once a service has been activated or used, the corresponding service content is deemed to have been provided. Therefore, payments are generally non-refundable unless an exception applies.
(2) Exceptions
Refunds may be considered only in the following circumstances:
Legal requirement: where applicable laws, regulations, or mandatory regulatory rules require a refund.
Technical breach: where a serious system failure caused by SVNGU results in continuous service unavailability, cannot be restored within a reasonable period, and prevents you from using the core functions corresponding to the paid fees.
Discretionary exception: where SVNGU, at its sole discretion, has separately announced a specific refund rule or entered into an individual written refund agreement with you.
(3) Non-Refundable Circumstances
Unless required by applicable law or expressly agreed by SVNGU in writing, refunds will not be provided for reasons not caused by SVNGU, including but not limited to:
(4) Subscription Cancellation
You may cancel a subscription according to the process provided by the checkout provider or account settings.
Cancellation prevents future renewals but does not automatically refund fees already paid or services already delivered.
After cancellation, access to paid features may continue until the end of the current billing period unless otherwise stated.
(5) Credit Removal After Refund
If a refund is approved, SVNGU may remove, disable, or deduct the corresponding credits, plan access, generated outputs, or paid permissions associated with the refunded purchase.
(6) First-Time Goodwill Handling
In addition to the refund rights set out above, the SVNGU Billing and Credits Policy provides a separate discretionary goodwill handling mechanism for first-time issues reported within 24 hours of payment where no credits have been consumed. This mechanism is separate from and does not extend the refund process described in this section. Please refer to the Billing and Credits Policy for details.
SVNGU may adjust plans, prices, credit packages, feature availability, billing models, or usage rules from time to time.
We may notify users through website announcements, pricing pages, checkout pages, in-app notices, emails, or other reasonable methods.
Unless otherwise stated, price changes will not affect amounts already paid for the current billing period, but may apply to renewals, future purchases, new subscriptions, or upgraded plans.
If you use SVNGU Services through an enterprise, team, agency, partner, or organization account, the entity that opens or controls the account is responsible for all activities under that account.
The enterprise or organization is responsible for:
All actions conducted by members under an enterprise or team account, including uploading data, generating outputs, editing information, exporting files, downloading content, or consuming credits, shall be treated as actions of the enterprise or organization.
SVNGU is not responsible for losses caused by internal permission disputes, employee misconduct, contractor misuse, account sharing, delayed access removal, internal management failures, or unauthorized actions within an enterprise or team account.
SVNGU does not participate in internal disputes between companies, founders, employees, contractors, departments, partners, resellers, or collaborators.
You retain ownership of the original data, documents, product materials, images, manuals, listing information, and other content you upload, provided that you have the lawful right to use and upload such content.
By using SVNGU Services, you grant us a limited right to process Uploaded Content for the purpose of providing, maintaining, securing, improving, and supporting the services.
We do not claim ownership over your Uploaded Content.
We will process personal data in accordance with our Privacy Policy.
Data Controller and Processor Roles
Where the General Data Protection Regulation (GDPR) applies, the user will generally act as the data controller for personal data included in Uploaded Content, product materials, business documents, manuals, images, listing information, or other data submitted by the user, because the user determines the purpose and means of such data processing.
SVNGU will generally act as a data processor when it processes such data on behalf of the user solely to provide the SVNGU Services, including parsing, generating, translating, analysing, storing, exporting, or displaying service outputs.
SVNGU may act as an independent data controller for certain account, billing, security, compliance, analytics, support, and service administration data, as described in our Privacy Policy.
If a Data Processing Agreement (DPA) is required for business or enterprise use, users may contact us at support@svngu.com.
For security, abuse prevention, technical diagnostics, payment verification, service stability, and legal compliance, we may retain necessary technical logs, transaction records, usage records, and operational records, subject to applicable law and our Privacy Policy.
All intellectual property rights in and to SVNGU Services, including but not limited to software architecture, source code, user interface, design, graphics, text, workflows, product logic, AI prompt strategies, compliance rule systems, label rendering engines, document generation logic, database structures, validation mechanisms, technical documentation, trade marks, trade names, and brand materials, are owned by or licensed to YCELLO LTD.
YCELLO LTD has filed a European Union Trade Mark application for the SVNGU brand under EUTM Application No. 019364470. Any reference to this application does not imply that registration has been finally granted unless and until the mark is formally registered by the relevant authority.
You may not, without prior written permission from SVNGU:
Subject to these Terms and your payment of applicable fees, you may use Generated Output created from your own lawful input for your own business operations, including preparing, editing, exporting, publishing, submitting, printing, or displaying product labels, e-commerce listings, compliance preparation materials, and related business documents for your own products or authorized business activities.
However, unless expressly authorized by SVNGU in writing, you may not:
Payment for a service or download of Generated Output does not transfer ownership of SVNGU's underlying algorithms, workflows, rule systems, prompts, legal mapping logic, rendering logic, templates, software, or technical systems.
You receive only a limited right to use the specific Generated Output as permitted under these Terms.
You must not use SVNGU Services to:
We may suspend or terminate accounts that violate this section.
If you access SVNGU Services through a partner, reseller, agent, consultant, service provider, integration provider, or other channel party, that third party is responsible only for its own sales, promotion, onboarding, or account support activities unless expressly authorized by SVNGU in writing.
Such third parties are not legal representatives of SVNGU and may not make binding technical, legal, refund, service-level, pricing, compliance, or operational commitments on behalf of SVNGU.
Statements, discounts, promises, support arrangements, or additional services offered by third-party partners do not bind SVNGU unless confirmed by us in writing.
Disputes arising from the acts, omissions, fees, promises, or misconduct of a partner or reseller must be resolved between you and that third party, unless SVNGU has expressly assumed responsibility in writing.
Authorized Partner Verification
SVNGU will use reasonable efforts to review and manage authorized partners, resellers, or channel parties where such parties are formally recognized by SVNGU.
Users may contact SVNGU at support@svngu.com to verify whether a partner, reseller, agent, or channel party is authorized to represent or distribute SVNGU Services. If we become aware of misleading conduct, unauthorized commitments, or misuse of SVNGU brand materials by an authorized partner, we may take reasonable corrective action, including warning, suspension, termination of cooperation, or user guidance where appropriate.
SVNGU may suspend cooperation with any partner or channel party that engages in misleading promotion, unauthorized use of brand materials, malicious fee collection, technical reverse engineering, unlawful activity, or conduct that harms SVNGU or users.
You should verify the identity, authorization, and scope of any channel party before purchasing or using SVNGU Services through that party.
SVNGU Services may rely on or interact with Third-Party Services, including payment providers, AI model providers, cloud infrastructure, analytics tools, OCR tools, email services, hosting providers, or marketplace-related data and public information.
We are not responsible for failures, interruptions, data errors, price changes, API changes, service limitations, policy changes, or technical problems caused by Third-Party Services.
You may be required to comply with third-party terms, privacy policies, payment terms, marketplace rules, or API rules when using certain features.
Unless expressly stated in writing, SVNGU is not affiliated with, sponsored by, endorsed by, certified by, or officially approved by any marketplace platform, government authority, customs authority, certification body, testing body, notified body, standards organization, or regulatory agency.
References to platforms, marketplaces, legal sources, standards, regulations, authorities, or third-party brands are made only for identification, compatibility, informational, or functional purposes.
Such references do not imply endorsement, partnership, official approval, or legal authorization.
We may modify, suspend, discontinue, restrict, or update any part of the SVNGU Services at any time, including features, workflows, AI models, templates, pricing, credit rules, user interface, integrations, supported markets, and product availability.
We will make reasonable efforts to maintain service availability, but we do not guarantee uninterrupted, error-free, or permanent availability.
We may perform maintenance, updates, security checks, or emergency repairs that affect access or performance.
We may suspend, restrict, or terminate your access to SVNGU Services if we reasonably believe that:
Upon termination, your right to access paid features may end, subject to applicable law and any specific plan terms.
Certain sections of these Terms, including intellectual property, liability limitations, refund rules, data handling, dispute resolution, and prohibited use provisions, shall continue to apply after termination.
These Terms, and any dispute or claim arising out of or in connection with them or your use of SVNGU Services, shall be governed by the laws of England and Wales, without regard to conflict of law principles.
The parties shall first attempt to resolve any dispute through friendly negotiation within 15 business days after written notice of the dispute.
If no resolution is reached, the dispute shall be submitted to the competent courts of England and Wales, unless mandatory consumer protection laws provide otherwise.
If you are a consumer located in the European Union, you may have mandatory consumer protection rights under applicable local laws. The former European Commission Online Dispute Resolution platform has been discontinued. You may seek information about alternative consumer redress mechanisms through the relevant consumer protection authority in your country.
SVNGU shall not be liable for failure or delay in performing any obligation where such failure or delay is caused by events beyond our reasonable control.

We will use reasonable efforts to reduce the impact of such events and restore service where practicable.
We may update these Terms from time to time to reflect changes in our services, pricing, credit rules, technologies, legal requirements, regulatory environment, or business operations.
The updated version will be published on our website with a revised "Last updated" date at the top of this page.
Where a change materially affects your rights or obligations, we will provide reasonable advance notice through website announcements, in-app notices, email, or other appropriate methods. For changes that do not materially affect your rights or obligations, the updated Terms become effective on the date of publication.
Your continued use of SVNGU Services after the updated Terms become effective constitutes your acknowledgment of the updated Terms.
